General Terms and Conditions (GTC)

§1 Scope of Application

  1. These General Terms and Conditions apply to all offers, deliveries, and services provided by Shaoyun Natural Health & Beauty in the field of contract manufacturing (Private Label & White Label).
  2. Contractual partners are exclusively entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB). Contracts with consumers are excluded.
  3. Deviating or conflicting terms and conditions of the client shall not apply unless expressly confirmed in writing.
  4. Individual written agreements shall take precedence over these GTC.

§2 Offers and Conclusion of Contract

  1. All offers are subject to change and non-binding.
  2. A contract shall only be concluded upon written order confirmation or production approval by Shaoyun Natural Health & Beauty.
  3. Formulations, samples, concepts, calculations, labels, texts, and documents remain the intellectual property of Shaoyun Natural Health & Beauty unless otherwise expressly agreed in writing.

§3 Scope of Services

  1. The subject of the contract is the manufacture of cosmetic products in accordance with the agreed specifications.
  2. Shaoyun Natural Health & Beauty is obliged to carry out professional manufacturing in accordance with recognized cosmetic standards (including GMP principles).
  3. No specific economic or market-related success is owed.

§4 Obligations of Cooperation of the Client

  1. The client is responsible for:
    • Trademark rights, name rights, and design rights
    • Legal permissibility of the desired product name and advertising
    • Content on labels, packaging, and marketing materials
  2. Materials, texts, or designs provided by the client are not subject to legal review.
  3. Delays caused by missing or faulty cooperation shall be borne by the client.

§5 Formulations and Development

  1. Standard formulations remain the property of Shaoyun Natural Health & Beauty.
  2. Individual formulation development may be charged separately.
  3. Disclosure or transfer of formulations is excluded unless expressly agreed in writing.

§6 Samples, Approvals, and Deviations

  1. Samples serve as reference only and do not constitute a binding guarantee.
  2. Natural raw materials may lead to minor batch-related deviations in color, odor, and consistency.
  3. Such deviations do not constitute a defect, provided product safety and functionality are not impaired.

§7 Prices and Payment Terms

  1. All prices are net prices plus statutory value-added tax.
  2. Development, sampling, testing, and special services shall be charged separately.
  3. Unless otherwise agreed, payments are due prior to the start of production.
  4. In the event of late payment, Shaoyun Natural Health & Beauty is entitled to suspend production.

§8 Delivery and Transfer of Risk

  1. Delivery dates are non-binding unless expressly confirmed in writing.
  2. The risk shall pass to the client upon handover to the transport service provider.
  3. Shipping is carried out at the client’s risk.

§9 Warranty

  1. The client must inspect the goods immediately upon receipt.
  2. Obvious defects must be reported in writing within 7 calendar days.
  3. In the event of justified defects, Shaoyun Natural Health & Beauty shall, at its discretion, remedy the defect or provide replacement.
  4. Further claims are excluded to the extent permitted by law.

§10 Liability

  1. Shaoyun Natural Health & Beauty shall only be liable in cases of intent or gross negligence.
  2. No liability shall be assumed for:
    • Economic losses
    • Loss of profit
    • Incorrect or unlawful advertising by the client
  3. Liability is limited to the value of the order to the extent permitted by law.

§11 Product Liability and Marketability

  1. The client shall be the responsible party placing the product on the market within the meaning of the EU Cosmetics Regulation unless otherwise agreed.
  2. The client is responsible for:
    • CPNP notification
    • Product labeling
    • Advertising claims
  3. Shaoyun Natural Health & Beauty assumes no liability for violations of legal regulations after delivery of the goods.

§12 Confidentiality

  1. Both parties undertake to maintain confidentiality regarding all non-public information.
  2. This obligation shall remain in effect beyond the termination of the contract.

§13 Force Majeure

  1. Events of force majeure shall release Shaoyun Natural Health & Beauty from its performance obligations for the duration of the disruption.
  2. Claims for damages are excluded in such cases.

§14 Final Provisions

  1. German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
  2. Place of jurisdiction is Mannheim.
  3. If individual provisions are or become invalid, the validity of the remaining provisions shall remain unaffected.
